概要　Description

  • <!--[if !vml]--><!--[endif]-->⼤きなイノベーションほど、そのリスクも⾼く、社会的影響も⼤きい。イノベーションを起こす CXO や経営者は、イノベーションの結果起きる様々な影響を理解し、責任を負う覚悟と、そのリスク、失敗の可能性にも⼗分な配慮をした上で、ビジョンを持つことが必要である。

  • 各週回に資料がある場合は、1週間程度前に配信する。配信資料を⼿掛かりに広く議論できる準備を⾏うこと。
  • <!--[endif]-->なお、ゲストスピーカーの資料は事前にアップすることができない場合がある。その際は、その⽅の経歴・実績や過去の論⽂、本などを予習の上、授業に臨むこと。<!--[if !vml]-->
  • 準備学習：事前配布資料等に基づく次回授業参加の準備、復習（毎週8時間程度）。なお、毎週回で終了前後に提⽰される課題の提出を適宜課すことで、授業の予習・復習に代わる学習と位置づける。

  • Uploading the guest speaker's materials in advance may not be possible. In such cases, please prepare the guest speaker's background, achievements, past papers, books, etc., before coming to class.

The assignment is to be submitted before and after the end of each class and is positioned as an alternative to preparation for and review of the class.

【授業計画】
１．　経営倫理とは（青木、日戸）
・授業全体の導⼊として、経営倫理とコンプライアンスの概念、リスク管理、ビジネスリーダーの心構えなどについて、説明する。
 
２．　倫理学の理論的フレームワーク（日戸）
・ゲスト講師に髙橋文郎青山学院大学名誉教授をお迎えし、マックス・ウェーバー、マイケル・サンデルなど、倫理学の理論的フレームワークをレビューした上で、経営倫理をめぐる課題を整理して、議論を⾏う。
 
３．　資本主義と倫理（日戸）
・ゲスト講師に髙橋文郎青山学院大学名誉教授をお迎えし、前半はミルトン・フリードマンの論文をもとに資本主義と倫理をめぐる論点についての討議を行う。後半は企業の社会的責任（CSR）、共通価値の創造（CSV）を取り上げた上で、企業の利益追求と社会的責任の関係について検討する。
 
４．　企業と顧客（⽇⼾）
・いくつかの事例を踏まえて、企業と顧客の関係性について論点を整理し、議論を⾏う。また企業の製造物責任、グローバル化に伴う経営倫理についても言及する。
 
５．　DEI（⽇⼾）
・多様性、公正性、包括性（包摂性）の概念（DEI）が今日の企業経営において重要になっていること、またその観点から従業員の労働環境をめぐる施策のあり方について検討する。
 
６．　コーポレート・ガバナンス（⻘⽊、日戸）
・コーポレート・ガバナンス論、株主価値論、ステークホルダー論を整理した上で、近年話題となっているSRI、ESG投資、アクティビストについても取り上げる。
 
７．　技術⾰新と倫理（⽇⼾）
・技術⾰新の進展と倫理をめぐる論点、生成AIの活用がもたらす倫理的な側面からみた課題などを整理する。また研究者が遵守すべき研究倫理についても⾔及する。

８．行動倫理（日戸）
・誰もがとってしまうことがある非倫理的行動の背景に着目する行動倫理学について学んだ上で、企業の不祥事やリスクへの対応とリーダーに求められる役割、行動について学ぶ。

ゲストスピーカーは、授業の各回のテーマに精通した方を外部から招聘する。なおゲストスピーカーの招聘については、変更あるいは招聘しない場合がある。

Class schedule:
1. What is business ethics? (Aoki, Nitto)
- As an introduction to the entire class, the concepts of business ethics, compliance, risk management and the nature of leadership in companies will be outlined.
2. Theoretical frameworks of ethics (Nitto)
- We will welcome Professor Emeritus Fumio Takahashi of Aoyama Gakuin University as a guest lecturer to review the theoretical frameworks of ethics, including Max Weber and Michael Sandel, and then organize and discuss issues surrounding business ethics.
3. Capitalism and ethics (Nitto)
- Guest lecturer Fumio Takahashi, Professor Emeritus at Aoyama Gakuin University, will lead a discussion on issues surrounding capitalism and ethics based on Milton Friedman's paper in the first half of the lecture. In the second half, he will examine the relationship between corporate profit-seeking and social responsibility, focusing on the corporate social responsibility (CSR) and creating shared value (CSV).
4. Companies and Customers(Nitto)
・Based on several case studies, we will organize key points regarding the relationship between companies and customers and engage in discussion. We will also address corporate product liability and business ethics in the context of globalization.
5. DEI (Nitto)
- After understanding the concepts of diversity, fairness, and inclusiveness, job satisfaction and well-being of employees will also be examined.
6. Corporate Governance (Aoki, Nitto)
- After organizing corporate governance theory, shareholder value theory, and stakeholder theory, SRI, ESG investment, and Activist fund which have become hot topics in recent years, will be discussed.
7. Technological innovation and ethics (Nitto)
- Organize issues surrounding technological innovation and ethics, as well as challenges from an ethical perspective arising from the use of generative AI. Also address research ethics that researchers should adhere to.
8. Behavioral ethics (Nitto)
- After studying behavioral ethics which examines the underlying causes of unethical behavior that anyone might commit,students will learn how companies should address scandals and risks, as well as the roles and behaviors expected of leaders.

Guest speakers from outside who are well-versed in the practical aspects of each theme will be invited. The number of guest speakers may be changed or not requested.

担当教員の実務経験とそれを活かした教育内容　Work experience of the instructor

⽇⼾浩之： コンサルタントとして約35年にわたって活動した実績を⽣かし、企業の経営戦略⽴案、マーケティング等の実務に即した授業、指導を⾏う。


⻘⽊英彦：    2020年8⽉まで、のべ31年間にわたり⼩売業界担当の証券アナリスト業務に従事。⼩売、⾷品、消費財、IT、物流業界など産業界に幅広い⼈的ネットワークを持ち、現場・現実とセオリーを合体させた授業を⼼掛けている。30年余にわたる取材経験を活かし、ゲスト対談では本質を引き出す対話で受講者の学びを深める。


Hiroyuki Nitto: The lecturer will give lectures and provide guidance regarding business practices, such as management strategy and corporate marketing, using experiences he gained as a consultant for the past 35 years.

Hidehiko Aoki engaged in securities analyst work in charge of the retail industry for a total of 31 years. Taking advantage of more than 30 years of coverage experience, he deepens the learning of the students through dialogues that bring out the essence in guest dialogues.
