概要 Description
目的 Objectives
This course is a specialised subject. For its relationship to the programme's Diploma Policy and Curriculum Policy, please refer to the Course Handbook. Develop the ability to respond swiftly and innovatively to rapid societal change as a highly specialised professional possessing advanced practical expertise and an international perspective within the fields of technology management and related areas. Students will consider the "management decisions" required to enhance corporate value when directing diverse business activities. Even for beginners in management studies or law, this course cultivates the ability to discern the direction of rapidly changing capital markets, etc., as a future CEO. Through group discussions on several case studies simulating scenarios likely encountered by companies, students will acquire practical skills for forming internal consensus. 到達目標 Outcomes

- If materials are available for each weekly session, they should be distributed about a week in advance.Be prepared for a wide-ranging discussion using the delivered materials as clues. - Note that guest speaker materials may not be uploaded in advance. In such cases, please prepare for the class by studying the background, achievements, past papers, books, etc. of the guest speaker. - If necessary, reports will be assigned in a timely manner and positioned as a study alternative to class review.Students should review parts of the class that they did not understand by watching the class video. - Preparatory study: preparation and review for the next class based on the materials distributed in advance (approximately 8 hours each week). 成績評価方法 Performance grading policy
Contribution to lectures (questions and comments that advance discussion, submitted to Letus by the following Monday <optional>, or comments made during lectures) and contributions to group discussions and presentations: 70%. Week 1 (12, June) Introduction 1.1 Overview of the subject 1.2 Specific tactics and logic of who governs whom and how this is supported in legal strategy Week 1-2 (12, June) The legal and policy big picture surrounding companies 1-2.1 Appearance of the various laws and regulations surrounding companies 1-2.2 How and why new legislation is legislated, the process, the logic behind it, etc. Week 2 (19, June) As a CXO, what kind of governance should you aim for using corporate law? 2.1 New legislation that companies should take note of in the context of the new capitalism and enhanced national security 2.2 Setting individual goals, e.g. how to govern the company as a future CXO. Week 3 (26, June) Corporate governance 3.1 Basic concepts: how corporate value is determined, how to facilitate relations with shareholders and other stakeholders and how to govern (governance) the joint stock company as a whole. 3.2 Mechanisms of corporate governance: what is a company, what are the rights of shareholders from a jurisprudential and economic perspective, internal control and information disclosure, functions of the board of directors, etc. Week 4 (3, July) "Legal Risks Surrounding Corporations" (tentative title) Guest speaker: Toru Suzuki, Attorney at Law (Law firm ASCOPE, previously prosecutor at the Tokyo District Public Prosecutors Office, deputy chief prosecutor at the Naha District Public Prosecutors Office and prosecutor at the Tokyo High Public Prosecutors Office) Week 5 (10, July) How to negotiate business-to-business transactions, etc. How to build win-win relationships with major clients and other business partners, an overview from a negotiation perspective using the latest findings from Harvard-style negotiation techniques, etc. Week 6 (17, July) Exercises and verification of actual negotiations over business-to-business transactions, etc. Exercises using real-life examples of disputes with business partners, etc., and discussion of individual negotiation strategies.
