概要　Description
本科目設置の狙い及び専攻の目的との連関性を踏まえ、技術経営を行う上でガバナンス・法務を戦略的に活用するための専門的知識・実務等について学ぶとともに課題解決に向けた実践力を身につける。
世界の経営を巡る潮流は大きく変わり、日本では、新しい資本主義も議論され、ステークホルダーとの対話も重視される一方、企業の不祥事は後を絶たない。企業内不正だけでなく、企業間取引を巡る問題、更に、国家安全保障などにも留意が必要である。ＣＸＯを目指す学生が必須な知見を身に着ける。

Based on the relationship with the aim of this course and this school, students will professional knowledge and practice to utilize governance and legal strategy in MOT, and also to get practical ability to solve their challenges.

The current development surrounding world management is now changing drastically, and in Japan, while the ‘New Capitalism’ is discussed and we emphasize on the dialogue with their stakeholders, we are facing companies’ various corporate scandals.  It is needed to see not just Based on the relationship with the aim of this course and this school, students will professional knowledge and practice to utilize competition policy in the view of innovation and also to get practical ability to solve their challenges like the ones concerning B to B transactions , but the related laws in the context of changing national security issues.

目的　Objectives
  • 本科目は、専門科目であり、ディプロマ・ポリシーの１〜３の力をつける。
  • 高い実践的な専門性、国際的視野を持つ高度専門職業人として、国内外の社会の急速な変化に敏速かつ革新的に対応し、企業の様々な事業活動を指揮するにあたって、求められる「経営判断」と「経営責任」を考え、厳しい選択を迫られる局面において、前例踏襲、外部依存を脱して、変化の激しい市場の方向性を見極めつつ、自社のイノベーションなどに係る方向性について社内のコンセンサスを形成するための実践力を養う。

This course is the professional course and to acquire the ability of diploma policy 1 to 3.

Students can get the insight of CEO/COO, CTO, and other CXO/stakeholders in the education field of this school.
到達目標　Outcomes
  • 将来のCXOとして、企業を取り巻く様々なガバナンスや法的課題を効率的に把握し、自分事として捉えることができるようにする。
  • 関連科目に比べると、より実務に即して経営を担う立場として法務部職員や外部の有識者等の人的資源を有効活用して、リスクに備えつつ、「攻めも守りもできる技術経営」戦略を考え抜き、各事業の成功確率を引き上げることができるようになる。
  • 教育領域におけるCEO・COO、CFO、CHRO、起業家、その他CXO/ステークホルダー的知見を身につける。

  • Students can learn, as the CXOs, the least fundamental concepts necessary to understand governance and legal challenges surrounding companies effectively and grasp them for themselves.
  • In this course, students can prepare various managerial risks and think to run  ‘MOT for both attack and defense’, and success probability in each operation by efficiently utilize human legal resources like lawyers and legal staff.

  • 各週回に資料がある場合は、1週間程度前に配信する。配信資料を手掛かりにデータ分析や授業での議論のための準備を行うこと
  • なお、ゲストスピーカーの資料は事前にアップすることができない場合がある。その際は、その方の経歴・実績などを予習の上、授業に臨むこと。
  • 毎週回では必要に応じて、授業で行った練習問題、演習に関する復習を行う。またレポートを課し、授業復習に代わる学習と位置づける場合もある。

準備学習・復習　Preparation and review
  • 各週回の 1 週間程度前に配信する教材をもとに 、各回の授業前に資料の確認等予習をしてくること。
  • 適時レポートを課し、授業復習に代わる学習と位置づける。授業において理解ができなかった部分は授業動画を視聴して復習すること。
  • 準備学習：事前配布資料等に基づく次回授業参加の準備、復習（毎週7時間程度）。

  • 　７ hours of study are required per credit.
  •     Students are expected to prepare for each class by reviewing materials based on the course materials which will be distributed about one week before each class.
  •     Timely reports will be required and will be considered as a substitute for class review. Students are expected to review the material they did not understand in class by watching the video clips.

成績評価方法　Performance grading policy
  • 授業への貢献度（授業の概要、目的を踏まえた、議論を発展させる質の良い発言や演習での取り組み姿勢・発言 等）30％、レポート（全体で３回程度）45％、最終個人発表25％の割合で評価を行う。
  • レポートのフィードバックは授業中に取り上げることをもって行う。
  • 科⽬主担当教員が代表して評価する。 
  • 成績評価は絶対評価で行う。

  • Contribution to class (good quality remarks and comments to develop class discussion based on the whole structure and aim of this course, and so on) 30%
  • Reports three times in accordance with the progress of the course. 45%
  • The degree of understanding of the course will be measured by reports which will be submitted by two days ahead of the class.
  • The feedback of the reports will be done in this class.
  • The performance grading will be made by main professor, in principle,  considering sub professors’ opinions.

１　イントロダクション（諏訪園・加藤・井上）

1.1    科目概要

1.2    誰が誰をどうガバナンス（統治）し、それを法務戦略上どう支えるのか、その具体的な戦術とロジック

２　企業を巡る法的・政策的全体像（諏訪園・井上）

2.1　企業を取り巻く様々な法規制の外観

2.2　どのように、新たな法制が立法されるのか、そのプロセス、それを支える論理など

３　CXOとしては、企業法務を使って、どのようなガバナンスを目指すべきか（諏訪園・井上）。

3.1　新しい資本主義、国家安全保障の強化を図る中で、企業が留意すべき新たな法制

４　コーポレート・ガバナンス

６　企業間取引等を巡る交渉の在り方（諏訪園）
主要クライアントなどの取引先と、いかにwin winの関係を築くか、ハーバード流交渉術等の最新の知見を用いて、交渉学的な概観

７　企業間取引等を巡る交渉の実例に係る演習・検証（諏訪園）
　　　実際に発生した取引先などとの紛争の実例を用いた演習と、各自の交渉戦略について議論。

1.2     The students will discuss about who should govern companies, who will support them in the legal strategic points of view and the supporting strategy and logic

2   The total legal and political concept of companies

2.1    The legal and political overview surrounding companies 

2.2     How to make a new law, the process, and their logic

3   What kind of governance is needed, and how to attain it as a CXO

3.1    New Capitalism, the new regulations companies should take care amid strengthened national security system

3.2    Each student will set a goal, such as how to govern his or her company as a future CXO

4　Corporate Governance

4.1 　Fundamental Concept: how to evaluate corporate value, how to smooth relationships with stakeholders like shareholders, and how to govern the company

4.2 　The mechanism of corporate governance: what a company is, what the shareholders’ right, internal governance, disclosure, and function of board of governers, etc.

5　‘Legal risks surrounding companies’
　Guest speaker: Mr. Toru Suzuki, laywer at ASCOPE Law Office. He played very important roles as a prosecutor at Special Investigation Department of the Tokyo District Public Prosecutors Office, Naha District Public Prosecution Office, Tokyo High Public Prosecution Office, etc.

6 　How to negotiate in B to B trade
  How to build win-win results in the negotiation with main counterparts utilizing the recent knowledge of ‘Harvard Negotiation Study’

7 　Practice and review regarding real negotiation in BtoB trade
   Students will practice the negotiations based on the real conflicts with trade partners, and review each strategy of negotiation.

8 　Presentations about each student’s strategy in goal setting in the 3.2

9 　Overview; continued discussion in 8 and peer reviews



授業担当者の実務経験　Work experience of the instructor of the class

諏訪園 貞明：これまで国家公務員として中央省庁で、様々な事業者、事業者団体などから立法ニーズをくみ取り企画立案を行うなど、法改正などに係る作業を担ってきた経験を踏まえて、企業の技術経営に必要とされるガバナンスや法務戦略に関する授業を行う。

Sadaaki Suwazono

 Based on experiences of planning of reviews of various laws and policies by grasping the needs of various firms and their organizations as a national servant, he will make lectures of various challenges about corporate governance and legal strategy in companies’ management of technology.


加藤　晃

　貿易商社、外資系損保AIU保険会社（アンダーライター、グループ会社代表取締役社長、コマーシャル保険グループマーケティング責任者、M＆Aプロジェクトメンバー）などの実務経験を踏まえて、企業の技術経営に必要とされるガバナンスや法務戦略に関する授業を行う。


Akira Kato

　Lectures classes on governance and legal strategies required for corporate technology management based on his practical experience as a trading company, foreign non-life AIU insurance company (underwriter, group company president, head of commercial insurance group marketing, M&A project member).


井上悟志:国家公務員として中央省庁及び政府関係機関における勤務経験を活かし、政策の企画・立案 ・実行等に関する授業を行う。


Satoshi Inoue:

The lecturer will give lectures about government policies based on the experience as a government policy maker.
